Terms and Conditions

Effective Date: May 21st, 2025

Welcome to Archer, a cryptocurrency trading bot operated via Telegram and developed by Aiur Labs Inc., a company incorporated under the laws of the State of Nevada, United States ("Aiur Labs", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your use of the Archer bot ("Archer", "the bot", "the Service"). By accessing or using Archer, you agree to be bound by these Terms.

Archer is accessible through a third-party instant messaging application (“Telegram”) which is subject to these terms of service and occasional updates.

We reserve the right to update or modify these Terms at any time, at our sole discretion. When changes are made, we will update the “Effective Date” at the top of this page. All revisions become effective immediately upon publication at www.archerbot.io and may also be communicated to you directly via Archer on Telegram. By continuing to use Archer after the updated Terms are published, you agree to be bound by the revised version.

Archer does not hold custody of your assets, nor do we have access to your private keys. We cannot initiate transfers or otherwise access your cryptocurrency holdings. Neither Archer nor any of our service providers act as brokers, intermediaries, agents, advisors, or custodians. No fiduciary relationship or obligation exists between you and any of these parties in connection with your use of Archer or the decisions you make while using the Service.

You are solely responsible for maintaining control over your private keys and the self-custody of your cryptocurrency while using Archer. By accessing and using the Service, you acknowledge and accept full responsibility for any and all losses that may occur for any reason, including but not limited to user error, technical issues, or unauthorized access.

Please read these Terms carefully before using the Archer bot, website, or any related features (“Functionality”). Your access to and use of Archer is conditioned upon your acceptance of these Terms. By accessing or using Archer—including the Telegram interface, website, features, or any associated content (collectively, the “Service”)—or by clicking a button or checkbox to accept these Terms where applicable, you (i) acknowledge that you have read, understood, and agree to be bound by these Terms, and (ii) consent to the collection, use, and disclosure of your information as described in our Privacy Policy, available at https://archerbot.io/privacy-policy (the “Privacy Policy”).

The Privacy Policy is fully incorporated into these Terms by reference. All references to these “Terms of Service,” “Terms,” or this “Agreement” shall also include the Privacy Policy.

If you do not agree to these Terms, you may not use Archer. By accessing or using Archer through Telegram, you additionally agree to be bound by these terms and conditions.

1. Archer Features

1.1 Overview

Archer is a cryptocurrency trading bot that enables users ("Users") to buy, sell, and manage their crypto assets on the Solana blockchain (“Network”) through a Telegram-based interface (“Frontend”).

Aiur Labs Inc. reserves the right to add, modify, or remove features at any time without prior notice.

1.2 Getting Started

To begin using Archer, you must have a Telegram account ("Account"). Activate Archer by tapping "Start" on an official Archer instance hosted on its dedicated Telegram channel (“Channel”).

You may access the bot by searching “archerbot_bot” on Telegram or using the official Telegram link. Then, press “Start” or send the command “/start” to initiate.

1.3 Archer Channel

Each Channel is a private communication line between you and Archer.

These Channels do not provide direct access to Aiur Labs representatives or other users. Archer, as an automated bot, is the sole interface you interact with within the Channel.

1.4 Control Buttons

You can interact with Archer using Telegram control buttons or by submitting predefined text commands within the Channel.

1.5 Archer Wallet

Upon joining the Channel, you’ll receive a message from Archer with your unique Archer Wallet address. This wallet is used to interact with the bot. You can view the public address any time via the “Wallet” menu or by typing “wallet” in the chat.

Your wallet’s private key remains in your control. You are fully responsible for securing your private key and any associated seed phrases or passwords (“Security Credentials”).

Aiur Labs does not have access to your Security Credentials or crypto assets and cannot assist in their recovery. You acknowledge that your assets’ security depends on your own precautions, including maintaining the integrity of your device and keeping your credentials safe.

If you lose access to your Telegram Account and did not back up your Security Credentials, Archer cannot recover your crypto assets. Archer is not a custodian and has no access to the contents of your wallet. You are strongly advised to export and securely store your private key or import it into another self-custody wallet like Phantom or Solflare.

You can fund your Archer Wallet by sending SOL from another wallet on the Network or by bridging from another blockchain. Archer Wallets can hold any SPL-compatible crypto asset, but trading features in the bot interface are limited to assets transacted with SOL. Token availability in the Telegram interface may change due to legal or compliance factors. However, Archer does not restrict your ability to hold or move any SPL tokens at the blockchain level.

Withdrawals via the bot interface are currently limited to SOL. To withdraw non-SOL assets, you must use a different wallet platform.

You may reset Archer and receive a new wallet key pair. If you do so, and haven’t backed up your old private key, you will lose access to your previous Archer Wallet permanently. Make sure to save your key before resetting.

1.6 Transactions

You may initiate transactions from your Archer Wallet by generating trade commands to buy or sell crypto assets (“Transactions”).

All transactions are broadcast directly to the Network and are executed independently of Aiur Labs. By submitting a command through Archer, you authorize the corresponding transaction to be signed and broadcast without any ability to reverse or cancel it.

Archer itself does not execute or guarantee transaction completion. You are fully responsible for all inputs and commands you submit. Aiur Labs accepts no liability for any issues arising from your use of Archer, including failed trades or transaction errors.

1.6.1 Trading Assets

To trade assets with Archer, submit a quote request (“Request”) by entering the token`s name or contract address. Archer will query third-party DEX aggregators like Jupiter and return the best available quote.

Once you receive a quote (“Quote”), you may specify a quantity to trade—either in SOL (for purchases) or as a percentage of your current holdings (for sales). You acknowledge that the Quote is not a guaranteed execution price, and slippage may occur due to volatility, network congestion, or liquidity limitations.

Once you confirm the quantity, Archer prepares and signs a transaction from your wallet. After execution, you will receive a transaction hash link to verify it on a blockchain explorer.

1.6.2 Fees

Every transaction on the Network is subject to Network Fees, including:

Base Transaction Fee (for processing)

Priority Fee (for faster confirmation), and

State Rent (to maintain on-chain data).

These fees are collected directly by the Network and must be paid by the user. Aiur Labs has no control over them and cannot refund them under any circumstance.

Additionally, Archer charges a service fee on transactions (the “Archer Fee”). Fee details are published in our Fee Schedule. Aiur Labs reserves the right to change the Archer Fee at any time, and updates take effect immediately upon publication.

2. Represantations and Warranties

2.1 User Representations

By using Archer, you represent and warrant that:

• You are acting on your own behalf and using cryptocurrency assets that you lawfully own and fully control, free of any liens, restrictions, or third-party claims; or

• If you are acting on behalf of another party, you are authorized to do so under a valid and enforceable legal agreement, and have performed all necessary due diligence, including compliance with applicable U.S. and international anti-money laundering (AML) and counter-terrorism financing (CTF) regulations, to ensure that all activity through Archer complies with these Terms as though you were acting in your personal capacity.

• You are of legal age in your jurisdiction and have the legal capacity to enter into a binding agreement.

• You are not a resident, citizen, or organized under the laws of any Restricted Jurisdiction as defined in Section 2.2 below.

• Neither you, nor any person or entity that owns or controls you, is currently the subject of sanctions or trade restrictions imposed by the United States government (including the Office of Foreign Assets Control of the U.S. Department of the Treasury), the United Nations, the European Union, or any other relevant authority.

• You acknowledge and accept all tax obligations in your jurisdiction(s), including the responsibility to report and pay taxes related to crypto activity conducted through Archer.

• You are financially prepared to accept the full risk of loss, including the potential total loss of your crypto assets, as a result of using Archer or interacting with the Solana, Cardano or Ethereum Blockchains.

• You have not engaged and will not engage in market manipulation, insider trading, or other unlawful trading practices through Archer.

• You are not using Archer to transfer, conceal, or trade assets derived from illegal activities, including money laundering or the financing of terrorism.

• You are not interacting with Archer in any way that supports or facilitates criminal or prohibited activities.

• Your agreement to these Terms and use of Archer does not and will not result in a breach of:

• Any law, regulation, or governmental rule applicable to you;

• Any organizational documents or corporate governance provisions (if applicable);

• Any order, judgment, or decree issued by a court or regulatory body;

• Any contract, obligation, or legal commitment to which you are a party.

2.2 Restricted Jurisdictions

You may not use Archer if you are located in, a citizen of, or a resident of a Restricted Jurisdiction, which includes:

• Any jurisdiction where laws prohibit the use, ownership, or trading of crypto assets, or where such use may subject Aiur Labs Inc. to regulatory penalties or compliance requirements, including licensing, registration, or reporting obligations.

• Any jurisdiction in which crypto assets are classified as securities, financial instruments, or similar assets that require the Service or Aiur Labs Inc. to obtain specific regulatory approvals.

• Any jurisdiction listed by the Financial Action Task Force (FATF) as high-risk or under increased monitoring.

• Any jurisdiction subject to comprehensive economic or financial sanctions enforced by the United Nations, the United States (OFAC), the European Union, or Switzerland.

• The following jurisdictions are strictly restricted from using Archer, including but not limited to: Belarus, Burma (Myanmar), Central African Republic, Cuba, Democratic People’s Republic of Korea (North Korea), Democratic Republic of Congo, Iran, Iraq, Lebanon, Libya, Mali, Nicaragua, Russia, Somalia, South Sudan, Sudan, Syria, Ukraine (Crimea, Donetsk, and Luhansk regions), Venezuela, Yemen, and Zimbabwe.

2.3 User Understanding and Acknowledgments

By accessing or using Archer, you further represent and warrant that:

• You have read, understood, and agree to these Terms, and you are aware that any interaction with Archer is done entirely at your own risk and sole responsibility.

• You have performed reasonable due diligence on Archer, its features, and its underlying blockchain protocols before use.

• You have consulted with qualified experts as necessary to understand the legal, technical, and tax implications of using Archer and transacting with crypto assets.

• You possess sufficient knowledge and experience in blockchain technology, crypto wallets, digital assets, and decentralized finance (DeFi) to assess the risks and benefits of using Archer. Your understanding is appropriate to the value of assets you intend to transact.

3. Third-Party Functionality and Software

When using Archer, including its Telegram-based trading interface or any feature provided by Aiur Labs Inc. ("we," "us," or "our"), you may also be interacting with software, services, or systems developed or operated by third parties ("Third-Party Functionality"). For example, Archer’s swap capabilities rely on decentralized exchanges (DEXs), such as Jupiter, as well as blockchain smart contracts and tools not operated or controlled by Aiur Labs.

These Third-Party Functionality components are governed by their own terms of service, privacy policies, and fee structures, which you agree to abide by when engaging with them via Archer. Examples include:

• Additional third-party protocols and software, which may be introduced from time to time

This list is provided for informational convenience only and may not be exhaustive. You may contact us at [[email protected]] to request the most up-to-date list of integrated third-party services.

We do not endorse, control, or guarantee the functionality, accuracy, reliability, or security of any Third-Party Functionality. You use them entirely at your own risk, and any issue that arises from your interaction with these third parties must be resolved directly with the applicable provider. To the maximum extent permitted by law, these Terms shall prevail over any conflicting terms from a third-party provider. Aiur Labs disclaims all liability for any damage or loss resulting from the use or failure of any Third-Party Functionality.

Additionally, using Archer’s swap or trade features does not involve transferring your assets or private keys to Aiur Labs or any Archer service. Your assets remain in your self-custody wallet, and transactions are executed through blockchain protocols facilitated by third-party infrastructure. While Archer offers an accessible and convenient method to interact with these systems, convenience may come at the expense of advanced security options such as hardware wallets or offline cold storage.

To maximize your security, we recommend reviewing and managing your permissions regularly and considering fully self-custodial alternatives if they better meet your risk tolerance. Archer does not represent that its services are more secure than industry-standard practices such as the use of cold wallets or qualified custodians. Users are encouraged to consult digital asset security professionals to evaluate best practices.

You acknowledge and accept that Archer's performance depends on the reliability of external software, blockchain networks like Solana, and third-party smart contracts. Aiur Labs does not guarantee the availability, accuracy, or proper functioning of any external blockchain, DEX aggregator, or tool that Archer relies on. We are not responsible for any resulting issues or failures and make no assurances as to their continued compatibility or reliability.

4. Account Access, Credentials & Recovery

To use Archer, you may be required to create or connect an account through Telegram or related platforms. You are solely responsible for securing your account credentials and private keys. Aiur Labs does not have access to your wallet, seed phrase, recovery phrase, or any other private access method, and therefore cannot help recover your digital assets under any circumstances.

If you lose your recovery credentials or allow someone else to access them, that person may gain full control over your wallet and assets. Archer cannot retrieve lost wallets or undo unauthorized transactions. You are solely responsible for retaining and safeguarding your recovery phrase or any other backup mechanism you rely on. If lost, your funds may become permanently inaccessible.

By using Archer, you acknowledge and accept:

• That no backup or recovery of your private keys or seed phrases will be provided by Aiur Labs.

• That failure to safeguard your credentials may lead to the irreversible loss of your assets.

• That any liability for such a loss rests solely with you, and you release Aiur Labs and its affiliates, officers, and personnel from any related responsibility.

Your continued use of Archer confirms your understanding of these risks and your agreement to be bound by any third-party software terms that govern the infrastructure Archer interacts with.

5. Archer Private Beta Program Notice

Archer is currently in a private beta testing phase (“Beta Program”). Participation in the Beta Program is granted at the sole discretion of Aiur Labs Inc. and is non-transferable. Your access to Archer during this phase is personal to you, and you agree to use the Service only for lawful purposes and in accordance with these Terms.

You understand and acknowledge that the Archer Service, including its features, tools, and any data transmitted through it, is being made available as an early-stage release for testing and feedback purposes. The Beta Program is provided on an “AS IS” and “AS AVAILABLE” basis and is subject to change, interruption, or discontinuation at any time.

From time to time, Aiur Labs may introduce new, experimental, or pre-release features as part of the Beta Program. These trial services may be offered for evaluation and feedback, but Aiur Labs is under no obligation to offer or maintain any particular feature. If you choose to use these beta features, you agree to comply with any usage rules or limitations Aiur Labs may set.

By participating in the Beta Program, you agree that these Terms apply to your use of beta functionality as if it were part of the full production Service.

Please be aware that:

• Beta features may be unstable, contain bugs, or function improperly;

• Use of beta functionality may result in data loss, transaction failures, disruptions, or compatibility issues with third-party platforms or services;

• Data, digital assets, or settings created within a beta feature may not be reversible or recoverable if rolled back or discontinued;

• Feedback you provide may be used by Aiur Labs to improve Archer, but participation does not entitle you to compensation or priority access upon public release.

You acknowledge and agree that your use of the Beta Program is entirely at your own risk and that Aiur Labs disclaims all liability related to performance, functionality, or data integrity associated with beta features. These Terms are fully binding during your participation in the Beta Program.

6. Content Ownership, Use, and Responsibility

Definitions

For the purposes of these Terms:

• “Content” includes text, graphics, images, videos, music, software, audio, data, and any other materials made available through Archer, including through its Telegram interface, official website, or related platforms.

• “User Content” refers to any Content submitted, uploaded, posted, transmitted, or otherwise made available by users or account holders, including you, on or through Archer.

User Content remains your property, and Aiur Labs Inc. does not claim ownership over it. However, by submitting User Content, you grant Aiur Labs a worldwide, non-exclusive, royalty-free, sublicensable, transferable, perpetual, and irrevocable license to use, copy, reproduce, display, adapt, distribute, and create derivative works from your User Content in connection with operating and improving Archer, subject to our Privacy Policy.

You represent and warrant that:

• You have all rights, licenses, and authority necessary to submit your User Content;

• Your User Content does not violate any intellectual property rights or other laws;

• You are solely responsible for the accuracy and legality of your User Content.

We may remove or restrict access to any User Content at any time, for any reason, without notice. While Aiur Labs does not actively moderate User Content, we reserve the right to act at our sole discretion. User Content does not reflect the views or opinions of Aiur Labs or its affiliates.

6.1 Ownership of Archer’s Platform

All rights, title, and interest in and to the Archer bot, website, Telegram interface, and related services (“Functionality”), including all underlying software, trademarks, and intellectual property, are owned by Aiur Labs Inc. or its licensors and are protected under United States and international copyright, trademark, and other laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use Archer solely for lawful, personal purposes, and strictly in accordance with these Terms. You may not:

• Reverse engineer, decompile, or tamper with Archer`s software;

• Use Archer for commercial resale, Software-as-a-Service (SaaS), or hosted application purposes;

• Bypass rate limits, abuse features, or use automated scripts to scrape data;

• Misuse Archer’s brand, name, logo, or imply sponsorship or endorsement without prior written approval.

Any unauthorized use of Archer, including derivative works or rehosting, may violate intellectual property and other laws and will result in immediate termination of your access.

6.2 No Investment Advice

Archer may provide access to token information, sentiment data, and general insights to improve usability. This information is strictly informational and does not constitute financial, investment, legal, or tax advice.

Aiur Labs does not endorse or recommend any token, protocol, or trading strategy. You are solely responsible for evaluating any decision involving digital assets and should consult a professional advisor based on your individual risk profile and financial situation.

6.3 Acceptable Use

By using Archer, you agree not to:

• Violate intellectual property, privacy, or publicity rights of Aiur Labs or others;

• Engage in unlawful, abusive, or harmful behavior, including harassment, hate speech, or impersonation;

• Send spam, engage in mass messaging, or use bots to interfere with Archer’s functionality;

• Circumvent technical measures or access Archer in unauthorized ways;

• Disrupt service, launch denial-of-service attacks, or introduce malicious code;

• Use IP masking tools to evade restrictions or geolocation rules;

• Use Archer in violation of any applicable U.S. laws, including AML/CTF laws, OFAC sanctions, and the U.S. Bank Secrecy Act.

You also represent and warrant that:

• All digital assets used through Archer were lawfully obtained;

• You are not using Archer to launder funds or finance unlawful activities;

• You will not engage in any deceptive or fraudulent behavior;

• You will pay all applicable fees for network interactions and services.

6.4 Geographic Restrictions & Sanctions Compliance

Aiur Labs complies with all relevant U.S. and international trade laws. You may not use Archer if you are located in, under the control of, or a resident or citizen of any country or territory subject to U.S. embargoes or trade restrictions, including:

• Cuba, Iran, North Korea, Syria, Sudan, Russia (designated regions), or the Republic of Panama;

• Any country listed on the U.S. Treasury’s Specially Designated Nationals List (SDN), Entity List, Denied Persons List, or similar.

You may also not use Archer if you are attempting to distribute services or software to any prohibited jurisdiction or sanctioned person. You agree to comply with all applicable export control laws and certify your compliance with the Foreign Account Tax Compliance Act (FATCA) where applicable.

7. Crypto Assets

The company does not endorse, recommend, or guarantee any specific cryptocurrency or digital asset that may be accessible, traded, or interacted with through the Archer platform.

We make no representations or warranties, express or implied, regarding the availability, legality, reliability, functionality, or suitability of any crypto asset accessible via Archer. The status, utility, and legality of these assets can vary significantly by jurisdiction and may change without notice due to evolving regulatory, technical, and market conditions—all of which are outside our control.

You acknowledge and accept that crypto assets are inherently volatile and speculative, and your use of Archer to access, hold, or transact in such assets is done entirely at your own risk.

To the fullest extent permitted by law, Aiur Labs disclaims all liability for any loss or damage, whether direct, indirect, incidental, consequential, special, or punitive, arising from your interaction with, reliance upon, or inability to access or trade any particular crypto asset through Archer, including as a result of asset delisting, unavailability, legal changes, or technical failures.

8. No Professional Advice or Fiduciary Duties

All information made available through Archer—including via the Telegram bot, website, or any related channels such as blog posts, tutorials, third-party content, social media (including Twitter/X), news feeds, or community platforms like Telegram or Discord—is provided for informational purposes only and does not constitute legal, financial, investment, or professional advice.

You should not interpret any content or materials associated with Archer as a recommendation or endorsement to take (or refrain from taking) any particular action. Before making decisions related to crypto assets, trading strategies, or any legal or financial matters, you should consult with a licensed and qualified professional who can provide tailored advice specific to your situation.

Nothing in these Terms—and no aspect of your use of Archer—creates or implies any fiduciary relationship or duty between you and Aiur Labs Inc. The only obligations owed by Aiur Labs are those explicitly stated in these Terms and in our Privacy Policy, and no additional duties shall be implied. You use Archer at your own discretion and risk, and it is your responsibility to evaluate all information in context with your own independent research and expert advice.

9. Archer Affiliates and Referral Program

Aiur Labs Inc. offers an affiliate and referral program through Archer, allowing eligible users to earn rewards by referring new users to the platform. By participating in this program, you agree to comply with the following terms and conditions.

Eligibility and Participation

• The referral program is open to all registered Archer users in good standing with no history of fraud or abuse.

• Each participant will receive a unique referral link which may be shared on personal social media, websites, or directly with friends and family.

• Participation does not create any partnership, employment, agency, or representative relationship between you and Aiur Labs Inc.

Earnings and Rewards

• Rewards are based on the activity and transaction volume of referred users.

• Your referral tier and reward rates may vary depending on the number of successful referrals and their trading volume.

• Rewards will be credited to your account according to the payout schedule available in your Archer dashboard.

• Reward structures, payout rates, and program details are subject to change at Aiur Labs’ sole discretion and may be updated without prior notice. All changes will be communicated through official Archer channels such as our website or Telegram notifications.

Program Rules

• Spamming or the use of unsolicited messages is strictly prohibited. This includes mass messaging, emailing people you don’t know, using bots, or automated scripts to distribute referral links.

• You may not use paid advertisements, sponsored content, or financial incentives to promote your referral link or influence referrals.

• Misrepresentation, deceptive marketing, or fraudulent activity will result in immediate disqualification from the program and potential suspension from Archer.

Disclaimers and Limitations

• Aiur Labs does not guarantee any specific earnings or results from participation in the referral program.

• You may not make statements on behalf of Archer, Aiur Labs, or the referral program. Any such claims are unauthorized and expressly disapproved.

• Aiur Labs reserves the right to modify, suspend, or terminate the affiliate and referral program at any time, with or without notice.

This program and these terms are governed by the laws of the State of Nevada, United States. By participating in the Archer Affiliate and Referral Program, you acknowledge and agree to these terms, including any future updates.

10. Third-Party Resources and Promotions

Archer may include links to or references for third-party websites, services, content, materials, promotions, or products that are not owned, operated, or controlled by Aiur Labs Inc. Additionally, you may encounter third-party promotions or offers while using Archer’s services.

Aiur Labs does not monitor, endorse, warrant, or assume any responsibility for the availability, accuracy, legality, or security of any third-party resources or promotional offerings. If you choose to access or engage with such third-party resources or promotions, you do so entirely at your own risk.

Any interactions you have with these third parties—including participation in promotions or reliance on external content—are outside the scope of this Agreement, and we expressly disclaim all liability related to such activities.

By using Archer, you acknowledge and agree that Aiur Labs shall not be held responsible for any loss, damage, or consequences arising from your access to or use of third-party resources or promotions.

11. Not Registered with the SEC or Any Other Regulatory Authority

Aiur Labs Inc., the developer of Archer, is not registered with the U.S. Securities and Exchange Commission (SEC) or with any other federal or state regulatory authority in any capacity. Archer is a software service that provides access to automated trading tools. It does not operate as a broker, dealer, national securities exchange, investment advisor, or custodian.

We do not hold or custody digital assets, seed phrases, or private keys, nor do we match, execute, or settle trades on your behalf. All transactions initiated through Archer are executed directly on decentralized public blockchains such as Solana. Accordingly, Aiur Labs does not solicit, broker, or guarantee any trade execution.

The Swap Function and other trade features offered through Archer rely on third-party APIs and plugins that interface with decentralized exchanges and liquidity protocols. Any displayed swap rate, quote, or anticipated price is an estimate only and does not constitute a guarantee or warranty of market pricing, best execution, or trade outcomes.

By using Archer, you understand and acknowledge that all trading activity occurs independently on-chain, and Aiur Labs has no control over price movements, execution timing, or liquidity availability.

12. Earning $JRNY Tokens

As part of your use of Archer, you may be eligible to earn $JRNY tokens based on your trading activity or participation in certain features or campaigns (“JRNY Rewards Program”). The distribution of $JRNY tokens is at the sole discretion of Aiur Labs Inc., and the criteria for earning such tokens may be modified, suspended, or terminated at any time without prior notice.

You acknowledge and agree that:

• $The $JRNY token is not an investment, and no expectation of profit or future value should be associated with its acquisition or use;

• Earning $JRNY through Archer does not constitute a financial return, dividend, yield, or equity interest in Aiur Labs Inc. or any affiliated entity;

• Aiur Labs may modify or discontinue the JRNY Rewards Program or alter the structure, distribution, or eligibility criteria at its sole discretion, without any obligation to compensate users for accrued or anticipated tokens;

• Participation in the program is voluntary, and you assume full responsibility for your use of the platform and any tokens received.

• By using Archer and participating in any rewards feature, you expressly agree that $JRNY is not being offered as a security, investment contract, or financial product, and that Aiur Labs Inc. provides no promises, guarantees, or obligations regarding its value or purpose. You also agree not to interpret any communication from Aiur Labs or its team as financial advice or solicitation.

13. Acknowledgment of Risks, Disclaimers, and Release of Claims

By accessing and using the Archer bot and related services (“Functionality”), you acknowledge that you understand and accept the inherent risks associated with blockchain technology, decentralized systems, and digital assets. You confirm that you have the necessary experience and knowledge to interact with such technologies and understand that markets for digital assets are highly volatile, speculative, and may be impacted by factors such as regulation, security vulnerabilities, technology changes, and market sentiment.

You understand that:

• Transaction costs and processing speeds on blockchains like Solana may vary significantly and increase without warning;

• The value of digital assets, including those accessed through decentralized exchanges via Archer’s Swap Function, may fluctuate sharply or become worthless;

• Malicious actors can create counterfeit or deceptive tokens that impersonate legitimate projects, and “rug pulls” (where liquidity is drained or token supply is manipulated) are a known risk;

• Aiur Labs does not vet, endorse, or assess the legitimacy, legality, or security of any specific token or project.

Aiur Labs Inc. is not responsible for:

• Any losses or damages—direct, indirect, incidental, or consequential—arising from the use of any digital asset or transaction made through Archer;

• Regulatory actions that may affect your ability to use Archer or access your digital assets;

• Technological risks, including advances in cryptography or quantum computing, which may impact the security of blockchain networks or smart contracts;

• Failures or vulnerabilities in third-party systems or APIs, such as decentralized exchanges (e.g., Jupiter), wallet integrations, or blockchain infrastructure, which Archer relies on for functionality.

Archer’s tools are provided “as is” and “as available”, without warranty of any kind. Aiur Labs does not guarantee the accuracy, reliability, or timeliness of any pricing information or transaction estimates. Displayed swap rates are not guarantees of execution price, and transactions conducted through the Swap Function are executed via external third-party smart contracts, not by Aiur Labs itself.

You agree that:

• All transactions are final and irreversible, and refunds are not possible;

• You bear full responsibility for your actions, decisions, and losses when using Archer;

• You must conduct your own due diligence before transacting with any digital asset;

• Aiur Labs Inc. is not registered or licensed with the U.S. Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), or any other financial regulatory authority. The Swap Function is not an exchange and does not offer trade execution, custodial services, or clearing;

• Archer does not operate as a broker, investment adviser, custodian, or financial intermediary of any kind.

You must comply with all applicable U.S. and foreign laws, including securities laws, tax regulations, and anti-money laundering provisions. Aiur Labs does not provide legal, tax, or investment advice.

By using Archer, you expressly:

• Accept and assume all risks associated with your use of the Functionality;

• Release Aiur Labs Inc., its officers, affiliates, and service providers from any and all liability, claims, or damages, including those arising from your use of third-party integrations, token interactions, or pricing data;

• Agree that Aiur Labs is not liable for any inaccuracies, fees, slippage, or asset losses you may incur.

• If you are a California resident, you expressly waive the protections of California Civil Code §1542, which states: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

By continuing to use Archer, you confirm that you understand the above risks and disclaimers, and that you are solely responsible for your decisions, transactions, and digital asset interactions.

14. Limitation of Liability

IMPORTANT – PLEASE READ THIS SECTION CAREFULLY

To the fullest extent permitted by applicable law, Aiur Labs Inc. expressly disclaims all liability for:

• Any actions taken by you based on information provided by Archer or through your use of the Archer bot or connected wallets;

• Any direct, indirect, incidental, consequential, punitive, or special losses or damages incurred as a result of accessing or using Archer, including but not limited to wallet interactions, transactions, or protocol integrations;

• Any damages resulting from the technical limitations, vulnerabilities, outages, or failures of third-party services or public blockchain networks (such as Solana), which are beyond Aiur Labs’ control.

YOU ARE SOLELY RESPONSIBLE FOR YOUR ACTIONS WHEN USING ARCHER AND ACCEPT ALL ASSOCIATED RISKS.

To the maximum extent permitted by applicable law, you expressly and unconditionally release Aiur Labs Inc. and its affiliates, officers, directors, employees, agents, and service providers from any and all liability—whether in contract, tort (including negligence), misrepresentation, breach of fiduciary duty, restitution, breach of statutory duty, or otherwise—for any claims, damages, losses, costs, or expenses, including but not limited to:

• Loss of funds, tokens, digital assets, profits, revenue, business, data, goodwill, or investment opportunities;

• Any reliance on pricing data or other information displayed by Archer;

• Transactions performed through the Archer interface, including any executed via integrated third-party protocols;

• Failure to comply with legal or regulatory obligations specific to your location or jurisdiction;

• Errors, downtime, delays, omissions, or disruptions in service availability;

• Any act or omission by third parties, including API providers, network operators, or integrated platforms.

Aiur Labs shall not be held responsible for any incorrect, outdated, misleading, or inaccurate information—whether published on the Archer platform or elsewhere—unless such inaccuracy is the result of intentional fraud by Aiur Labs. You assume all risk for using or relying on such information.

To the extent permitted by law, the total aggregate liability of Aiur Labs Inc. under these Terms shall not exceed one hundred U.S. dollars (USD $100.00) regardless of the cause of action.

Any claim or cause of action arising out of or related to the use of Archer must be filed within one (1) month from the date the claim was discovered—or it shall be permanently barred.

Force Majeure

Aiur Labs Inc. shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to:

• Natural disasters (e.g., floods, earthquakes, fires);

• Acts of war, terrorism, civil unrest, or governmental actions;

• Epidemics, pandemics, or other public health emergencies;

• Strikes, labor disputes, power outages, or hardware failures;

• Internet disruptions, telecommunication issues, or third-party service outages;

• Delays in obtaining materials, regulatory blocks, or legal seizures.

Such events shall not invalidate the remaining provisions of these Terms, and Aiur Labs’ obligations will resume once the force majeure event ceases.

By using Archer, you agree to these limitations and acknowledge that you assume full responsibility for all associated risks, including system downtime, smart contract vulnerabilities, third-party failures, and token volatility.

15. Warranty Disclaimers

You acknowledge and agree that your use of Archer, including its website, bot interface, and related services, is entirely at your own risk. Archer is provided by Aiur Labs Inc. on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind—express, implied, or statutory.

To the fullest extent permitted under applicable law, Aiur Labs expressly disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Aiur Labs makes no guarantees regarding:

• The uninterrupted or error-free operation of Archer;

• The accuracy, timeliness, or reliability of content, pricing information, or transaction data;

• The availability or performance of blockchain networks, including Solana;

• The accuracy or completeness of any data from third-party integrations.

Emerging technologies, including blockchain networks and decentralized exchanges, present unique risks—including technical failure, network congestion, cryptographic vulnerabilities, and user error. Archer does not store private keys, and any convenience features related to wallet access or transaction signing are used at your sole risk. You are strongly encouraged to independently back up your private keys and digital asset credentials.

16. Indemnity

You agree to indemnify, defend, and hold harmless Aiur Labs Inc., its affiliates, licensors, service providers, and each of their respective officers, directors, employees, contractors, and agents (collectively, the “Aiur Labs Parties”), from and against any and all claims, demands, disputes, liabilities, damages, losses, costs, judgments, awards, and expenses—including reasonable legal and accounting fees—arising out of or related to:

1. Your access to or use of Archer, including any of its features, content, or functionality;

2. Any User Content you upload, submit, or transmit through Archer;

3. Your use of any third-party functionality or integration accessed through Archer;

4. Your violation of these Terms or any applicable laws or regulations.

You will not settle any claim without the prior written consent of the Aiur Labs Parties. If you are required to provide indemnification, you will be responsible for the costs and expenses of the Aiur Labs Parties, including reasonable attorneys’ fees and costs.

You agree to cooperate as fully as reasonably required by the Aiur Labs Parties in the defense of any claim. The Aiur Labs Parties reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will be responsible for nothing.

17. Discontinuation of Service

Aiur Labs Inc. reserves the right, at its sole discretion and without prior notice, to modify, suspend, or permanently discontinue the Archer bot or any part of its services, without any obligation to compensate or indemnify users, to the fullest extent permitted by law.

Discontinuation may occur under various circumstances, including but not limited to:

• The emergence of a force majeure event beyond Aiur Labs’ control, such as natural disasters, regulatory restrictions, or severe technical disruptions;

• The enactment or enforcement of any law, regulation, court ruling, government directive, or industry policy—whether domestic or international—that substantially impairs Aiur Labs’ ability to legally or operationally provide access to the Archer interface.

You acknowledge that Archer is just one of many tools available for interacting with your crypto assets on public blockchain networks such as Solana. The tokens you access through Archer are held in your self-custodied wallet, and you remain free to manage, transfer, and trade those assets via alternative wallets or platforms, without the need for Archer’s involvement or permission.

Aiur Labs makes no guarantees regarding the ongoing availability of Archer and disclaims any liability related to the cessation of service.

18. Downtime

Aiur Labs Inc. does not guarantee that Archer will operate without interruptions, delays, or errors at all times. As Archer operates through the Telegram platform, its functionality is directly dependent on the availability and performance of Telegram and related third-party infrastructure.

Accordingly, Archer may experience temporary or extended downtime, degraded performance, or complete unavailability—either due to issues with Archer itself or with Telegram’s underlying systems. During such periods, users may not be able to access or interact with Archer, and service availability may be interrupted for an indefinite duration.

Aiur Labs shall not be held liable for any damages, losses, missed opportunities, or interruptions in trading resulting from service downtime or performance issues. You acknowledge and accept this risk as a condition of using Archer.

19. Class Action Waiver

To the maximum extent permitted by applicable law, you waive any right to initiate or participate in a class action lawsuit or class-wide arbitration against Aiur Labs Inc., its affiliates, subsidiaries, or any individual or entity involved in the development, operation, or provision of the Archer bot or its related services.

This waiver applies to any claim, dispute, or controversy arising out of or relating to your use of Archer, regardless of the legal theory on which it is based. You agree that any claim you assert must be brought solely in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

20. Entire Agreement

These Terms, along with any policies, guidelines, or documents expressly incorporated by reference, constitute the entire agreement between you and Aiur Labs Inc. regarding your use of Archer and related services. They supersede all prior or contemporaneous communications, agreements, discussions, or understandings, whether oral or written, related to the subject matter herein.

Unless explicitly stated otherwise in a written agreement signed by Aiur Labs, these Terms shall govern and control in the event of any conflict between these Terms and any other agreement you may have with Aiur Labs regarding Archer.

21. Governing Law

These Terms and any dispute, controversy, or claim (including non-contractual disputes or claims) arising out of or relating to their subject matter, formation, or enforcement shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law principles.

22. Jurisdiction

Subject to the Dispute Resolution and Arbitration provisions herein, you agree that the state and federal courts located in Clark County, Nevada shall have exclusive jurisdiction over any dispute, claim, or controversy arising out of or related to these Terms or your use of Archer. You further agree to submit to the personal jurisdiction of these courts and waive any objection to venue or forum on the basis of inconvenient forum or otherwise.

You acknowledge that your Feedback is provided voluntarily and that Aiur Labs has no obligation to compensate you or credit you for its use.
